Operator License Agreement

Between Local Guide Home Services ("LGHS") and the Operator named on the seat list at the end of this agreement.

1. What LGHS provides

LGHS builds, owns, and operates the following for each seat on the seat list, and licenses their use to Operator for the term of this agreement:

  1. A Google Business Profile for the trade brand ("the Profile")
  2. A website for the trade brand
  3. Business citations and directory listings
  4. A business phone number that rings to Operator's phone ("the Line")
  5. A CRM sub-account with the LeadConnector mobile app: call recording, text, quoting, job tracking
  6. A review link and QR code
  7. Business cards (initial run)
  8. Social media posting for the trade brand
  9. Management of Google Ads and Local Services Ads, when Operator chooses to fund them
  10. A feature in the LGHS local newsletter
  11. Direct mail campaigns for the trade brand
  12. Co-marketing with other LGHS operators in the area

2. What Operator provides

  1. Prompt, professional response to every call and lead from the Line
  2. Completion of accepted jobs to the standard of the trade
  3. Current licenses and insurance required for the trade
  4. Three required habits, every job: (a) record the job and the amount in the CRM, (b) upload job photos to the CRM, (c) ask the customer for a review through the review link. These are conditions of the seat, not suggestions. Repeated failure is grounds for removal under Section 7.
  5. Ad spend, printing and postage, if Operator chooses to run ads or direct mail (billed directly to Operator or reimbursed to LGHS at cost)
  6. Operator's state license number for the trade, where Texas requires one, so it appears on the Profile, the website, every ad, and every quote and invoice for the seat

2A. Lead generation only. Separate businesses.

  1. Operator is an independent business, not an employee, agent, partner, or joint venturer of LGHS. LGHS is a lead generation and marketing company only. It provides marketing and back-office services to Operator and nothing more.
  2. LGHS is not a contractor and does not offer, sell, or perform trade work to any customer. Operator alone offers and performs the work, under Operator's own name, license, and insurance.
  3. LGHS does not perform, supervise, quote, price, warrant, or guarantee any trade work. Every job is a contract between Operator and the customer.
  4. Operator quotes, invoices, and collects from the customer directly, in Operator's own legal name. LGHS never takes payment for trade work. The revenue share in Section 3 is a marketing fee Operator pays LGHS.
  5. The Profile and the website carry the line "Independently owned and operated by [Operator legal name], [license number]." The Line rings to Operator, who answers it and quotes the work. LGHS does not quote prices or promise results to customers.
  6. Operator indemnifies and holds LGHS harmless from any claim, loss, or cost arising from Operator's work, crews, vehicles, licensing, or customer dealings.

3. Fees

  1. License fee: $1,000 per seat, paid up front at signing, non-refundable. Covers the build: profile, site, citations, cards, number, and domain. For a seat on a profile LGHS has already built and is already ranking (a "ready seat"), the license fee is $500.
  2. Revenue share: 10% of revenue collected by Operator on jobs that originated through the Line or the Profile ("LGHS Jobs"). Jobs from Operator's own customers, referrals, or any other source are not LGHS Jobs and carry no fee.
  3. Cap: the revenue share for a seat will not exceed the monthly cap for that seat's trade, written on the seat list at the end of this agreement, in any calendar month. No carryover.
  4. Local Services Ads: LGHS manages Operator's LSA account at no fee. LSA leads are not LGHS Jobs.
  5. Record: the CRM is the record. A contact that enters through the Line or the Profile is tagged at intake and stays tagged. Operator marks jobs won in the CRM with the amount.
  6. Settlement: fees are tallied at month end from the CRM and settled at a monthly review between LGHS and Operator. Due within 10 days of the review.

4. Ownership

  1. The Profile, the Line, the website, the domain, the CRM sub-account, and all content LGHS creates are owned by LGHS and licensed to Operator. Operator's own business name, licenses, equipment, crews, and customer relationships are Operator's.
  2. Operator may not change, transfer, or claim ownership of the Profile or the Line.

5. Term and exit

  1. Term: 12 months from signing, renewing month to month after that.
  2. Either party may end this agreement with 30 days written notice.
  3. Buyout: if Operator ends the agreement and wants to keep the Profile and the Line, Operator may buy them for $5,000 per seat, paid in full before transfer. Otherwise LGHS keeps them and may place another operator on them.
  4. Fees on LGHS Jobs collected before the end date remain due.
  5. Non-payment: if any amount settled at the monthly review is not paid within 10 days, LGHS may end this agreement immediately, reassign the seat, and decline any future seat or license to Operator. The buyout option does not survive a termination for non-payment.

6. Ramp

LGHS makes no guarantee of lead volume or timing. A new profile typically takes 30 to 90 days to produce organic leads. The license fee is paid up front. The revenue share is owed only on LGHS Jobs that pay.

7. Conduct

  1. Operator will not use the Profile, Line, or LGHS materials for any trade or area not on the seat list.
  2. LGHS may remove an Operator from a seat for unanswered leads, customer complaints, lapsed licensing, or failure to keep the three required habits in Section 2, with written notice.
In plain language. $1,000 up front per seat, $500 if the profile is already built. 10% of what we bring you, with a monthly cap for your trade written on the seat list. Your own customers are yours. Three things you do on every job: log it in the CRM, upload the photos, ask for the review. We do everything else. You're your own business: your license on every ad, your insurance, your invoice, your customer. We're the back office. We settle up once a month, and you have 10 days to pay. Miss it and the seat goes to someone else, for good. Want to walk with the profile, it's $5,000.

Seat list

Filled in at signing. One row per seat: the trade, the town, and the monthly cap for that trade. This is the only place the cap is written, so it has to be here.
